Punchboo is a time clock. Your crew punches in and out on a tablet; your office sees hours, overtime and a gross-wage estimate. It is not payroll and it does not do taxes or deductions.
You are the employer. You are responsible for paying people correctly, following the employment rules in your province, and keeping your time records as long as the law says.
Free covers up to 3 active people and 1 tablet. The Punchboo plan is CAD $29 a month for up to 9 active people, plus $3 a month for each person after that, counted once a month on your billing day. Month to month, cancel any time, no refunds for part of a month.
If a payment fails, your account drops to the Free limits after a few retries. Your crew keeps punching and nothing is deleted.
Your data is yours. You can download it any time. After you close your account we keep it 90 days (we warn you by email 30 days before deleting it), then delete it.
We do our best to keep the service running, but we can't promise it will never be interrupted, and our liability is limited to what you paid us in the last 12 months.
This summary is here to help you read the terms. It is not part of the agreement; the full terms below are what counts.
1. Who this agreement is between
These terms are an agreement between the business that creates a Punchboo account ("you", "your business") and 14886933 Canada Inc., 120 Oakdale Road, North York, Ontario M3N 1V9, Canada ("we", "us"). We operate the Punchboo service at punchboo.com and app.punchboo.com (the "service").
You agree to these terms when you create a shop, when you keep using the service, and again when you subscribe to a paid plan at checkout. The person who creates the account confirms that they are an adult and that they have the authority to agree for the business.
Our Privacy Policy explains how we handle personal information. It is part of this agreement.
2. What Punchboo is, and is not
Punchboo is a time clock for small businesses. Your employees punch in, punch out and record lunch on a shop tablet, or with a PIN. Your office shows hours, timesheets, schedules, overtime and a gross-wage estimate. It is a record-keeping and calculation tool.
Punchboo is not a payroll service. It:
does not pay anyone;
does not calculate or remit income tax, CPP, EI, vacation pay, statutory holiday pay or any other deduction or premium;
does not give legal, tax, accounting or employment-standards advice;
offers overtime and break rules by province as defaults only. They are a starting point. You must check them against the rules that apply to your business and adjust them.
Gross-wage figures are estimates built from the hours recorded and the rates you entered. They are for your planning and for handing to your accountant or payroll provider. They are not a pay statement.
3. You are the employer
Your business is the employer of the people whose time is recorded. That means you, not us, are responsible for:
paying your people correctly and on time;
following the employment-standards, privacy and other laws that apply to you, including rules on overtime, breaks, rounding, averaging agreements and statutory holidays;
reviewing flagged or edited shifts before you use the numbers;
keeping your time records. Employment-standards laws in Canada generally require employers to keep time records for about three years, and some rules require longer. Keeping those records is your job. Download your records regularly, and before you close your account (see section 7);
telling your employees that their punches are recorded by the service, and having the right to collect the information you enter about them.
We are not a substitute for an accountant, a payroll provider, a lawyer or an employment-standards officer.
4. Your account and your users
Owners and managers
The person who creates the shop is the owner. The owner can invite managers. Owners and managers are your users; you are responsible for everything they do in your account.
Credentials
Each user must have their own login. One person may not share their login or password with anyone, and one login may not be used by several people.
You are responsible for the PINs your employees use on the tablet: for handing them out, for changing them when someone leaves, and for what is punched with them.
Keep your passwords private. Tell us right away at if you think your account was accessed without permission.
Tablets
You set up and own the tablets. You are responsible for who can reach them and for setting the optional shop Wi-Fi lock if you want punches limited to your network.
Suspension
We may suspend or limit an account for abuse of the service, for non-payment, or when the law requires it. We will give you notice first where that is practical. Suspension does not delete your data.

Active people. An active person is someone whose name is on the tablet. When you turn a person off in the office, their hours stay on record and they stop counting.
How we count. We count your active people once a month, on your billing day. Hiring or turning people off during the month shows on your next bill, not the current one. You agree to this price and this way of counting at checkout.
Currency and taxes. All prices are in Canadian dollars and exclude applicable taxes. We do not charge tax today. If that changes, tax will be added to your invoice as the law requires.
Complimentary plans. We may give a free or discounted plan to anyone at our discretion. We may end it with 30 days' notice.
Price changes. We may change prices with at least 30 days' notice by email to the account owner. A new price applies from your first billing day after the notice period. If you don't want the new price, cancel before then.
6. Billing, cancelling and failed payments
Monthly, by card. The Punchboo plan is billed monthly, in advance, by card through Stripe, our payment provider. We never see your full card number. Your subscription renews each month until you cancel.
Cancelling. You can cancel at any time from the Plan page in your office (Manage card & invoices). Cancelling takes effect at the end of the billing period you have already paid for. You keep the paid features until then. We do not refund partial months.
Failed payments. If a payment fails, Stripe retries it over the following days and your office shows a warning. If the retries all fail, your account drops to the Free limits: up to 3 active people and 1 tablet. Your crew can always keep punching, and we do not delete any data because of a failed payment. Add a working card to get the paid features back.
Disputes. If you think an invoice is wrong, email within 30 days of the invoice date and we will look into it.
7. Your data
It is yours. Your employees' details, punches, hours, schedules and settings belong to your business. We process them only to run the service for you, as described in our Privacy Policy. We do not sell them and we do not use them for advertising.
Download any time. You can print any timesheet at any time. On the Punchboo plan you can also download your records as Excel/CSV files from the office. If you need a file of your records and can't get it from the office, email and we will send you one.
After your account closes. Whether you close the account or we end it, we keep your data for 90 days so you can still download it. We email the account owner about 30 days before deleting it. After the 90 days we delete it, and it cannot be recovered. Keeping records for as long as the law requires is your responsibility, not ours.
Backups. We keep backups so we can recover from a failure on our side. Backups are not a substitute for your own copies of your payroll records.
8. Acceptable use
You agree not to:
use the service to break any law, or to record people you do not have the right to record;
upload anything that is illegal, harmful or that infringes someone else's rights;
try to reach another business's data, probe or test the service's security without our written permission, or overload, attack or interfere with the service;
scrape, copy, reverse engineer, decompile or try to extract the source code of the service, except where the law gives you that right;
resell, rent, sublicense or offer the service to third parties, or use it to build a competing product;
use the service as a person under 16, or let a user under 16 run your account;
remove our branding, or pass the service off as your own.
If you break these rules, we may suspend or end your account under section 15.
9. Who owns what
Our software
The service, its software, design, text, images and the Punchboo name and owl are ours, or licensed to us. We give you a limited, non-exclusive, non-transferable licence to use the service for your own business's time keeping while this agreement lasts. You get no other rights.
Your content
Anything you enter or upload, including your company name and logo, stays yours. You give us a licence to store and display it inside your account and on your tablets, so the service can work. You confirm that you have the right to use what you upload.
Feedback
If you send us suggestions, we may use them without owing you anything.
10. Availability and changes to the service
We aim for high uptime, but we do not guarantee that the service will be available at all times, or that it will be free of errors.
We may take the service down for maintenance. We try to do this at quiet hours and to give notice for anything longer than a few minutes.
The tablet keeps recording punches when the internet is down and sends them when it is back. Features that need a connection, such as the office and "My hours", wait until the connection returns.
We may add, change or remove features. If we remove a feature that matters to you, we will try to give you notice. If we ever shut down the service, we will give at least 60 days' notice by email and a way to download your data.
11. Links to other sites
The service and our website may link to other sites, such as Stripe's billing portal or government pages on employment standards. We do not control those sites and are not responsible for them. Their own terms and privacy policies apply.
12. No warranty
To the extent the law allows, the service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose or non-infringement. We do not warrant that hours, overtime or wage figures will be correct for your situation, or that the service will meet your legal obligations. Some provinces do not allow certain warranties to be excluded; in that case the exclusion applies only as far as the law allows.
13. Limits on our liability
No indirect losses. To the extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive losses, including lost profits, lost data, fines, penalties, or claims made against you by your employees or by a government body, however they arise, even if we were told they were possible.
Cap. Our total liability to you for all claims under or related to this agreement, together, is limited to the fees you paid us in the 12 months before the event that gave rise to the claim, or CAD $100 if you paid nothing.
What this does not limit. Nothing in these terms limits liability that the law does not allow to be limited, including liability for fraud or wilful misconduct.
These limits are an essential part of the deal between us; our prices are set on the basis of them.
14. Your responsibility for employment matters
You agree to defend and compensate us, and our directors, employees and contractors, against any claim, loss, fine or cost, including reasonable legal fees, that results from:
how you pay, schedule or manage your employees, including any claim by an employee or a government body about wages, overtime, breaks, holidays or records;
the information you enter about your employees, or how you collected it;
your users' or your employees' use of the service in breach of these terms or of the law.
We will tell you promptly about any such claim and let you handle its defence, as long as you don't settle in a way that admits fault on our part without our consent.
15. Ending the agreement
By you. You can close your account at any time by emailing info@punchboo.com from the owner's address. Cancelling a paid plan without closing the account is covered in section 6.
By us. We can end this agreement with 30 days' notice by email for any reason, or immediately if you break these terms in a serious way, if you don't pay, or if the law requires it.
What happens next. Your data is handled as described in section 7: kept for 90 days for you to download, then deleted. Any amount you owe stays owing.
Survival. Sections 7 (your data), 9 (who owns what), 12 (no warranty), 13 (limits on our liability), 14 (your responsibility for employment matters), 17 (general) and this section continue after the agreement ends.
16. Changes to these terms
We may update these terms from time to time. For a change that matters, we will email the account owner and show a notice in the office at least 30 days before it takes effect. For minor changes, such as fixing wording or adding a feature, we update the date at the top of this page. If you keep using the service after a change takes effect, you accept the new terms. If you don't accept them, close your account before then.
17. General
Governing law. These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. Any dispute will be handled in the courts of Ontario, and you agree to their jurisdiction. Nothing in this section takes away rights that the laws of your own province give you and that cannot be changed by contract.
Entire agreement. These terms, the Privacy Policy and the plan you chose at checkout are the whole agreement between you and us about the service. They replace any earlier discussions or promises.
Severability. If a court finds part of these terms invalid, the rest still applies.
No waiver. If we don't enforce a term right away, we can still enforce it later.
Assignment. You may not transfer this agreement to anyone else without our written consent. We may transfer it to a company that takes over our business, with notice to you.
Notices. We send notices to the owner's email address on the account. Keep it current. You can reach us at the address below.
Language. These terms are written in English. Service in French and sign-ups from Quebec are not available yet.
